1. Agreement to These Terms

These Terms of Service govern your use of this website and any grand event staging service provided by JGrandeur LLC. By browsing the site, sending an enquiry or commissioning an engagement, you agree to be bound by these terms together with any written proposal, quotation or project file that we issue for a specific event. If you do not agree with a provision, please raise it with the studio before work begins rather than assume that it will not be applied.

Where a signed engagement letter or a project file contains a term that differs from a term on this page, the signed document takes priority for that engagement to the extent of the difference. These terms apply to the extent that the signed document is silent. Nothing on this page is intended to remove a right that the law gives you and that cannot lawfully be excluded by agreement.

2. Definitions

In these terms, the Company means JGrandeur LLC of 2013 Ridgewood Way, Bountiful - 84010-1653, United States (US). The Studio means the working space and the team at that address. The Host means the person or organisation that commissions an engagement. The Project File means the collection of drawings, runs, charts, windows, call sheets and correspondence that supports an engagement. The Vendor means a caterer, florist, marquee contractor, lighting supplier, transport partner or other supplier engaged for an event.

The Event means the gathering that an engagement is commissioned to stage. The Fee means the amount payable for an engagement as set out in the quotation or engagement letter. Business Day means a day other than a Saturday, a Sunday or a public holiday in the state where the event takes place. A reference to writing includes email and a signed electronic document.

3. The Services We Provide

The Company provides grand event staging services, including foyer programme bays, banquet order runs, marquee plan desks, seating chart reviews, floral contract windows and gala night closings. Each service is delivered through a Project File that records the plan, the owners, the timing windows and the fallback for each step. The scope of an engagement is the scope stated in the quotation or engagement letter and is not widened by a general description of the Studio on this website.

The Company provides planning, documentation and coordination. Unless a quotation expressly says otherwise, the Company does not supply catering, floral stock, marquee structures, lighting equipment or transport vehicles, and it does not act as the employer of a Vendor crew. The Company will coordinate with a Vendor as the Host representative and will record the outcome in the Project File, but each Vendor remains responsible for its own work, staffing and insurance.

Where the Company gives a view on a venue, a floor plan or a safety route, that view is professional guidance based on what the Studio observed and on the information the Host and the venue supplied. It is not a structural survey, a fire safety certification or an engineering opinion, and it does not replace the advice of a qualified specialist where the law or the venue requires one.

4. Enquiries and Quotations

An enquiry may be sent through the contact form, by email to message@jgrandeur.autos or by telephone on +14844238465. An enquiry does not create a contract and does not reserve a date. The Studio will normally reply within one Business Day, although a reply may take longer during an event run, and the Studio will say when that is the case.

A quotation is prepared after the Studio has enough information about the date, the venue, the guest count and the programmes that the Host requires. A quotation is valid for thirty days from its date unless it states a different period. A quotation is an invitation to commission an engagement and not a binding offer, and the Company may correct an obvious error in a quotation before an engagement is signed.

Where the Host asks the Studio to hold a date while a quotation is considered, the Studio may agree to a short courtesy hold. A courtesy hold is not a booking, it does not create an obligation on either side, and it will be released if another Host is ready to sign for the same date and the first Host has not confirmed within the agreed hold period.

5. Commissioning an Engagement

An engagement begins when the Host signs the engagement letter or confirms acceptance of the quotation in writing and pays the deposit required by the quotation. Until both steps are complete, the date remains available to other clients and the Studio is not obliged to reserve crew, materials or desk time. The Studio will confirm the booking in writing once the deposit has cleared.

The engagement letter records the programmes in scope, the key dates, the Fee, the deposit, the payment schedule and the named contacts on each side. The arrangement of Studio programmes within the Project File is the Company professional judgement and may develop as the project proceeds, provided the scope and the Fee are not changed without the written agreement of the Host.

6. Fees and Payment

The Fee is stated in the quotation and is payable according to the schedule in the engagement letter. Unless the quotation says otherwise, a deposit of fifty percent is due on signing, a further twenty five percent is due thirty days before the event, and the balance is due five Business Days before the event. The Studio may require the balance earlier where a Vendor requires payment in advance.

Fees are quoted in United States dollars and are exclusive of sales tax, which will be added where the law requires it. Travel outside the Bountiful area, crew overtime agreed with the Host, and third party charges such as permits, equipment hire or venue fees are additional and will be described in the quotation or approved in writing before they are incurred.

An invoice that remains unpaid after its due date may attract a late charge of one and a half percent per month on the outstanding amount, or the highest rate the law allows if that is lower. The Studio may suspend planning or withhold the final part of a Project File while an undisputed invoice remains unpaid, although the Studio will not withdraw support from an event already in progress without giving the Host a written notice and a reasonable chance to pay.

7. Host Responsibilities

The Host supplies accurate information about the date, the venue, the expected guest count and any change that could affect the plan. The Host confirms that it is entitled to share the guest information that it gives to the Studio and that a guest has been told when their details are passed to a vendor. The Host identifies a decision maker who can approve an amendment during the run up to the event.

The Host is responsible for the conduct of its guests and for any damage that a guest causes at a venue. The Host maintains its own insurance for the event where the venue requires it, and the Host ensures that any licence, permit or permission needed for the event is in place before the Studio begins installation. The Studio will flag an obvious gap in the paperwork where it sees one, but the Host remains responsible for obtaining the document.

Where the Host supplies a seating chart or a guest list, the Host confirms that the list is complete and that a guest with a specific requirement has been identified. The Studio will review the chart and report an inconsistency, but it will not contact guests directly unless the Host asks it to do so in writing.

8. Venue Access and Rules

The Host secures access to the venue for the installation window and the event day that the Project File requires, and the Host confirms the venue rules on load in, parking, noise, fire routes and the time by which the building must be returned. The Studio will work within those rules, and the Host will support the Studio where a venue rule conflicts with an element of the plan so that the element can be adjusted in good time.

Where the venue is late in granting access, the Studio will protect the essential parts of the plan first, such as the foyer route, the fire lanes and the banquet timing, and will record the consequence in the Project File. A delay caused by a venue may reduce what can be delivered within the original window. The Studio will not charge for time lost through a venue delay, but it may charge for crew time that the Host asks it to extend in order to recover the schedule.

9. Vendors and Partner Contracts

A Vendor is engaged either by the Host or by the Company acting as the Host agent. Where the Company engages a Vendor on behalf of the Host, the Host is the principal and the Vendor contract is made between the Vendor and the Host unless the quotation says otherwise. The Company will pass the relevant part of the Project File to the Vendor and will coordinate the interface, but it does not guarantee the performance of the Vendor and it does not assume the Vendor obligations.

A floral contract window is a coordination instruction, not a guarantee that a bloom will hold for a stated period. A marquee plan desk is a planning drawing, not a structural certification. Where a Vendor raises a technical concern about a plan, the Company will consider it and record a response, and the technical decision remains with the qualified person or the structure owner responsible for that element.

10. Changes to the Plan

A Host may request a change to the plan at any time. The Studio will advise whether the change can be absorbed within the Fee or whether it requires an amendment. An amendment that adds scope, extends crew time or changes a Vendor order is recorded in a written variation and is effective when the Host approves it in writing. The Studio will not begin work on a variation that carries an additional cost until the approval is received.

Where a change is requested within seven days of the event, the Studio will try to accommodate it, but it may not be possible to secure the crew, the stock or the venue permission in time. If the Studio cannot deliver a late change, it will say so clearly and will offer the nearest alternative that the plan can support, so that the Host is never left expecting a result that the evening cannot produce.

11. Cancellation and Postponement

Either party may cancel an engagement in writing. If the Host cancels more than sixty days before the event, the Company retains the deposit and refunds any other amount already paid, less any non recoverable Vendor cost that the Company has incurred. If the Host cancels between sixty and thirty days before the event, the Company retains the deposit and fifty percent of the remaining Fee. If the Host cancels within thirty days of the event, the full Fee is payable.

Where the Host postpones an engagement to a new date, the Company will apply the amount already paid to the new date where the new date is available and the postponement is requested more than thirty days before the original event. A postponement within thirty days is treated as a cancellation and a new booking, because the crew and the materials cannot be released in time to be recovered elsewhere.

If the Company cancels for a reason other than a breach by the Host or an event outside its control, the Company refunds every amount paid for the cancelled engagement and pays a credit equal to ten percent of the Fee toward a future engagement with the same Host. This remedy is offered in place of any other remedy for the cancellation itself, without limiting a right that the law gives the Host.

12. Guest Conduct and Safety

The Studio plans for safety and expects every person at the event to respect the plan. A fire route is never blocked to gain a photograph or an extra table, and a crew member who finds a route obstructed will clear it and record the fact. The Host supports the Studio in that action, because a safe event is the first condition of a beautiful one.

The Studio may suspend an installation or a service where a condition is unsafe, such as a structure that has moved, a floor that cannot bear a load or weather that exceeds the limits written in the marquee plan desk. The Studio will tell the Host at once and will resume when the condition is corrected. A suspension for safety is not a breach of the engagement.

Crew members are not required to tolerate abusive behaviour. Where a guest or a Host representative behaves in a way that threatens a crew member, the Studio may withdraw the affected crew and the Host remains liable for the Fee. The Studio will always try to resolve a difficulty quietly and with dignity for everyone present.

13. Studio Documents and Intellectual Property

The Studio owns the drawings, run sheets, templates, checklists, wording and methods that make up a Project File, including the way that a programme is structured. The Host receives a licence to use the Project File for the Event for which it was prepared and for the related venue and Vendor coordination that the engagement requires. The Host may share the file with a venue or a Vendor to the extent needed to deliver the Event.

The Host may not sell, publish or reuse a Project File for another event without the written permission of the Studio. The Host may not represent the Studio method as its own. Where the Host supplies its own material, such as a photograph, a logo or a written text, the Host keeps ownership of that material and grants the Studio a licence to use it for the Event and for the Project File.

The name JGrandeur LLC, the studio device and the text of this website are the property of the Company. Nothing in these terms gives the Host a right to use the name or the device in a way that suggests a partnership or an endorsement that the Company has not agreed in writing.

14. Confidentiality

Each party keeps the confidential information of the other party private and uses it only for the engagement. Confidential information includes the guest list, the seating chart, the commercial terms and any unpublished detail about the event. A party may disclose the information where the law requires it, where a court orders it, or to a professional adviser who is bound by a duty of confidence.

The duty of confidence continues after the engagement ends and after these terms come to an end. A crew member who works on the Event is bound by the same duty, and the Studio keeps a written commitment from each crew member. Where a Host asks the Studio to sign a separate confidentiality agreement, the Studio will review it and will agree to a reasonable obligation that is consistent with these terms.

15. Limitation of Liability

The Company is responsible for the reasonable skill and care of its own planning and coordination work. The Company is not responsible for the act or omission of a Vendor, a venue, a guest or any other person that it does not control, and it is not responsible for a loss that arises from information that the Host or the venue supplied incorrectly.

To the extent that the law allows, the total liability of the Company for an engagement is limited to the Fee paid for that engagement. The Company is not liable for an indirect or consequential loss, such as a lost business opportunity or a lost reputation, and it is not liable for a loss that was not reasonably foreseeable when the engagement was signed. Nothing in this section limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be limited.

The Host indemnifies the Company against a claim brought by a third party to the extent that the claim arises from a breach of these terms by the Host, from inaccurate information that the Host supplied, or from the conduct of a Host guest. The indemnity does not apply to the extent that the claim is caused by the negligence of the Company.

16. Events Outside Our Control

Neither party is liable for a delay or a failure to perform that is caused by an event outside its reasonable control, such as severe weather, a fire, a flood, an epidemic, a strike, a government order, a road closure or a failure of a public utility. The affected party will tell the other party as soon as it can, will take reasonable steps to reduce the effect, and will record the position in the Project File.

Where an event outside our control makes the original plan impossible, the Studio and the Host will meet as soon as is practical to agree a revised plan or a postponement. Amounts already spent on a Vendor order or on crew time that cannot be recovered will be discussed openly, and the Studio will provide the supporting record so that the Host can see the basis of any charge. A party may end the engagement if the event outside control continues for more than thirty days.

17. Termination

Either party may end an engagement if the other party commits a material breach and does not remedy it within fourteen days of a written notice that describes the breach. The Company may end an engagement at once where a Host fails to pay an undisputed invoice, where a Host asks the Studio to act unlawfully, or where a safety condition cannot be corrected. Where the Company ends an engagement for a Host breach, the Fee remains payable as described in the cancellation section.

An ending of the engagement does not remove a duty that was intended to survive it, such as the duty of confidence, the ownership of the Studio documents and the limitation of liability. The Studio will hand over the part of the Project File that the Host has paid for and that is needed for the Event, and it will keep the archive in accordance with the privacy policy.

18. Use of This Website

You may read, print and share the pages of this website for your own lawful use. You may not copy the site in bulk, remove a notice of ownership, attempt to interfere with the hosting service, or introduce malicious code through the contact form. The website is provided as a source of information about the Studio, and it does not by itself create a contract for any service.

The Studio tries to keep the information on this website accurate and current, but a page may contain an error or may become out of date. The Studio accepts no liability for a decision taken solely on the basis of a page, and a quotation or an engagement letter is the authoritative statement of the terms for a specific engagement. If you find an error on a page, please write to the Studio so that it can be corrected.

19. Governing Law and Disputes

These terms are governed by the law of the State of Utah, and the courts of that state have jurisdiction over a dispute, without regard to a conflict of law rule. The parties will first try to resolve a dispute through a direct conversation between the Host and the studio director, because most difficulties in this work can be settled by a clear conversation about what happened and what it cost.

If a direct conversation does not settle the matter within thirty days, the parties will consider a structured negotiation or a mediation before a claim is filed. Nothing in this section prevents a party from asking a court for urgent relief where a right needs immediate protection. A claim arising from an engagement must be brought within the period that the law allows, and the parties will preserve the Project File in the meantime.

20. General Provisions

These terms, together with the engagement letter and the Project File, form the whole agreement between the parties for an engagement. A statement made in a conversation does not change the written terms unless it is confirmed in writing by the Studio. If a provision is found to be unenforceable, the rest of the terms remain in force and the unenforceable part is read down to the extent the law allows.

A failure to enforce a term on one occasion is not a waiver of that term on a later occasion. A party may not transfer its rights under an engagement without the written agreement of the other party, except that the Company may transfer its rights to a successor business on notice to the Host. A notice is effective when it is sent to the email address recorded in the engagement letter or to the studio address below.

The headings in these terms are for convenience only and do not affect the interpretation of a clause. A reference to a statute includes a regulation made under it and any replacement enactment. A reference to a person includes a company and an unincorporated body.
